1.1 Acceptance. By registering on Virtual Talent, registering a user account, or otherwise accessing and using the services provided by Virtual Talent LLC, you agree to be legally bound by these Terms and Conditions in their entirety. If you do not agree to all of these Terms and Conditions, do not create an account, purchase subscription plans, or use any portion of our platform. These terms constitute a binding legal agreement between you and Virtual Talent LLC.
1.2 Eligibility. You must be at least 18 years of age to register. By checking the agreement box, you confirm you meet this requirement. Accounts found to belong to minors or registered under false pretenses will be permanently terminated immediately without refund. By continuing, you represent and warrant that you meet these age and capability requirements.
1.3 Account Accuracy. You agree to provide true, accurate, current, and complete information during registration and to maintain the accuracy of this data. Impersonation of other individuals, entities, or labels, or the misrepresentation of credentials, catalog ownership, or booking history, is strictly prohibited and constitutes a material breach of this Agreement, leading to immediate suspension.
1.4 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials, including passwords and authentication tokens. You accept responsibility for all activities, bookings, transactions, and correspondence that occur under your account. You must notify our support team immediately at support@virtualtalent.com upon discovering any unauthorized use or security breach.
1.5 Prohibited Conduct. You agree not to: (a) upload content that is unlawful, defamatory, obscene, harassing, or infringing on intellectual property; (b) use automated bots, scrapers, crawlers, indexers, or scripting tools to access or harvest data; (c) attempt to reverse-engineer, disrupt, or compromise the platform's security mechanisms; (d) engage in spamming, phishing, or unauthorized advertising.
1.6 Account Termination. Virtual Talent LLC reserves the right, in its sole discretion, to suspend, disable, or permanently terminate any account at any time, with or without notice, for conduct that violates these Terms, is harmful to other users, or damages the commercial reputation of Virtual Talent LLC.
2.1 Discovery Platform Only. Virtual Talent operates exclusively as a talent discovery, connection, and catalog presentation platform. The registration of an account, placement in search results, or upgrading to premium plans does not constitute an offer of employment, a contract of agency, representation, or any form of booking guarantee.
2.2 Independent Operations. Virtual Talent LLC makes no representations or warranties regarding the active engagement, responsiveness, or interest of registered labels, artists, promoter networks, or booking managers. You acknowledge that booking decisions are made entirely at the discretion of the respective parties.
2.3 Disclaimer of Agreements. Any agreements, contracts, performance riders, or financial arrangements entered into between users (such as between music labels and artists) are negotiated, executed, and completed solely between those parties. Virtual Talent LLC is not a party to, nor is it responsible for the enforcement or arbitration of, any such contracts, and bears zero liability for breaches or non-performance.
3.1 Ownership. Users retain all ownership, copyright, and publishing rights to their original audio files, music videos, artwork, biographies, trademarks, and associated media uploaded to the platform.
3.2 License to Platform. By uploading or submitting content, you grant Virtual Talent LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, display, stream, distribute, index, and promote your media solely for the purpose of operating, marketing, and enhancing the platform's service offering.
3.3 Warranties. You represent and warrant that you hold all necessary licenses, copyrights, publishing rights, and permissions for all content uploaded to your profile, and that such content does not infringe the rights of any third-party publishers, record labels, or performance rights organizations.
3.4 Proprietary Rights. Virtual Talent LLC retains all rights to the platform's technology, branding, design, and proprietary features. Nothing in these Terms grants you any rights to the Virtual Talent brand or software.
4.1 Billing Cycle. Paid features and services require active recurring subscriptions or one-time fees. Pricing plans, billing intervals, and features are clearly displayed before purchase. All subscription renewals are processed automatically unless cancelled.
4.2 No Refunds. Due to the digital nature of the services, all payments, renewals, and fees are non-refundable. Users are responsible for managing and cancelling their subscriptions before the auto-renewal date through their account settings.
4.3 Price Changes. Virtual Talent LLC reserves the right to change pricing with reasonable notice to registered users.
5.1 Collection of Data. We collect user-provided information (including names, addresses, business registration details, email addresses, telephone numbers, payment card details, and profile assets) and automatically-collected telemetry data (including IP addresses, browser types, geo-location, and interaction history).
5.2 Use and Processing. Your data is processed to maintain account features, verify label legitimacy, match talent with opportunities, distribute newsletters, and optimize application performance via analytics tools.
5.3 Security Standards. We implement industry-standard administrative, technical, and physical security measures to safeguard user data against unauthorized access, loss, alteration, or disclosure. However, no electronic transmission over the internet can be guaranteed 100% secure.
5.4 Retention. We retain your data for as long as your account is active or as required by applicable law. You may request deletion of your account and associated data at any time.
5.5 Your Rights. Subject to applicable law, you have the right to access, correct, or delete your personal data. Contact us at support@virtualtalent.com for such requests.
5.6 Cookies. We use cookies and similar tracking technologies to maintain sessions and analyse usage. You may disable cookies in your browser settings, though some features may not function correctly.
By registering on the platform, you explicitly consent to receive transactional notifications, system alerts, product updates, and promotional newsletter emails from Virtual Talent LLC. You may opt out of promotional emails at any time by utilizing the "Unsubscribe" links provided in the email footers.
To the maximum extent permitted by applicable law, Virtual Talent LLC, its directors, employees, partners, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, reputation, data, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the platform; (b) any conduct, contracts, or content of third parties on the platform; (c) unauthorized access, use, or alteration of your transmissions or content.
You agree to defend, indemnify, and hold harmless Virtual Talent LLC and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the platform; (b) your violation of any term of these Terms and Conditions; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.
These Terms and Conditions shall be governed by, and construed in accordance with, the laws of the jurisdiction of Virtual Talent LLC's incorporation, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts of said jurisdiction, and you hereby consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms. We will notify registered users of material changes by email.
